& Transportation Rules

This document explains how TrueNorth USA Logistics LLC handles, protects, and governs business, shipping, personal, and usage data across our global logistical operations.

1. Acceptance

TrueNorth USA Logistics LLC ("TrueNorth", "we", "us", or "our") provides its website, portals, freight coordination, warehouse systems, and logistics solutions subject to the following Terms and Conditions. By accessing our web properties, requesting dispatch, booking shipments, or interacting with our tracking systems, you acknowledge that you have read, understood, and agreed to remain legally bound by these terms.

2. Website Usage

Our website, client portals, and EDI/API data exchanges are designed to facilitate business-to-business logistical coordination. You agree to use these portals strictly for authorized supply chain functions. Any unauthorized attempt to scrap data, breach dashboard authentication protocols, upload malicious payloads, or disrupt our hosting servers is strictly prohibited and subject to civil or criminal prosecution.

3. Transportation Services

TrueNorth coordinates FTL, LTL, expedited, flatbed, temperature-controlled, heavy-haul, and intermodal transport across North America. Physical shipments are governed by the specific bill of lading, load confirmation, rate confirmation sheet, or logistics contract executed during individual dispatch setups. All cargo moves subject to applicable carrier regulations, Department of Transportation (DOT) guidelines, and standard cargo valuation maximums.

4. Freight Brokerage

TrueNorth acts as a licensed property broker under FMCSA authority. We identify, qualify, and contract third-party motor carriers to execute physical cargo movements. The shipper acknowledges that the physical transportation is executed by independent motor carriers, and TrueNorth does not operate as the physical motor carrier of record for brokered freight consignments.

5. Customer Responsibilities

Customers, shippers, and consignors are strictly required to ensure:

  • Accurate descriptions of freight class, dimensions, total weight, and temperature control variables.
  • Safe, secure, and compliant packaging of pallets, boxes, or machinery for interstate transit over public highways.
  • Explicit disclosure and compliance paperwork for hazardous materials (HazMat) in compliance with PHMSA regulations.

6. Scheduling

TrueNorth attempts to coordinate pick-up and delivery coordinates in alignment with client-specified schedules. However, transit schedules, routing estimates, and tracking projections provided on our platforms represent standard operational estimations and are not guaranteed arrival deadlines. TrueNorth is not liable for costs or chargebacks associated with missed delivery slots or facility appointments.

7. Payments

Unless a dedicated corporate credit limit has been explicitly authorized by our credit board, all logistics fees and transportation tariffs must be prepaid before dispatch execution. Payment must be cleared via secure bank wire, ACH, or pre-registered corporate card transactions. All payments must be made in US Dollars.

8. Invoices

Standard billing structures operate under Net 30 conditions for approved credit clients, calculated from the original invoice date. Discrepancies, charge disputes, or rating adjustments must be flagged in writing within 15 calendar days from receipt. Late invoice settlements accumulate daily finance charges calculated at 1.5% per month.

9. Cancellation

Cancellations for committed freight loads must be transmitted in writing to your assigned logistics coordinator before asset dispatch. Cancellations initiated after an independent carrier has been assigned or dispatched to the origin coordinate may result in "Truck Ordered Not Used" (TONU) fees, fuel surcharges, or dry-run fees.

10. Refunds

All transportation service charges represent earned dispatch fees. Refunds are not issued for completed shipments or delivered consignments. If an overpayment is made on your billing ledger, TrueNorth will apply a credit balance to your active account profile, which can be applied to subsequent transportation lane bills.

11. Liability

TrueNorth acts as a logistics manager and licensed broker. TrueNorth is not liable for cargo damage, theft, decay, delay, or loss occurring during active transport. Standard carrier liability regulations, Carmack Amendment guidelines, and cargo-specific insurance exclusions define the maximum limits of recovery. TrueNorth is not liable for consequential, incidental, special, or indirect damages under any circumstances.

12. Force Majeure

TrueNorth and its third-party transport partners are not liable for delayed execution, delivery disruptions, or load loss resulting from acts of God, extreme winter weather, labor strikes, civil unrest, quarantine orders, road closures, border bottlenecks, global pandemics, or governmental intervention.

13. Intellectual Property

All branding assets, website layouts, trademarked logos, routing optimization code, system databases, graphics, and textual resources are the exclusive property of TrueNorth USA Logistics LLC. Copying, republishing, or reverse-engineering our software structures is strictly prohibited without explicit written consent.

14. Privacy

We process, store, and share information collected from your visits in compliance with our standard Privacy Policy. Our policies describe how we manage and secure commercial data, driver location metrics, and dashboard interaction records.

15. Termination

TrueNorth preserves the right to suspend or terminate your portal access, credit lines, or ongoing load dispatch services immediately and without notice if we detect fraudulent data submissions, repeated payment default, or compliance violations under applicable FMCSA regulations.

16. Governing Law

These Terms and Conditions and any logistics agreements executed by TrueNorth shall be governed by and construed under the laws of the State of Delaware, without regard to conflicts of law provisions. Any legal actions must be filed exclusively in the courts holding jurisdiction in Delaware.

17. Changes

We reserve the right to revise or modify these terms at any time. When updates are published, we will revise the "Last Updated" timestamp at the top of this page. Your continued use of our systems or services constitutes your active acceptance of the revised terms.
